新設合併

新設合併は合併というM&A手法の中の一種で、2つ以上の会社の中身（権利義務の全て）を新たに設立する会社に承継し、新設会社以外の会社を消滅させる手法のことを言います。

ただし新設合併は各種手続きが煩雑なため、吸収合併に比べて採用されるケースは非常に稀です。（登録免許税の算定においても不利です。）
