最終契約

最終契約とは、譲渡価格やその他の諸条件に対して、売り手と買い手の双方が最終的に合意した際に交わす契約（契約書）のことを言います。

中堅・中小企業のM&Aにおいては、M&Aの各スキーム（手法）によって契約書名も異なりますが、一般的には株式譲渡の際は「株式譲渡契約書」、事業譲渡の際は「事業譲渡契約書」が最終契約書に当たります。
